Terms of Service
These Terms & Conditions ("Terms") are a legally binding agreement between you and 4c Advisory Sdn. Bhd., a company registered in Malaysia ("Provider," "we," "us," or "our"). By creating an account, clicking "I agree," or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1) The Service
"Service" means our hosted software, websites, APIs, and related materials that we make available to you. Features may change from time to time. We may provide optional beta or trial features; those are provided "as is" and may be modified or discontinued at any time.
2) Accounts & Eligibility
You must be the age of majority in your jurisdiction and have legal capacity to contract. If you register or use the Service on behalf of an organisation, you represent that you have authority to bind that organisation. You are responsible for your account, credentials, and all activity under it. Keep your credentials secure and tell us promptly about unauthorised use.
3) Acceptable Use
You will not:
- (a) Infringe others' intellectual property or privacy rights;
- (b) Upload malicious code, viruses, or harmful components;
- (c) Probe, scan, or disrupt the vulnerability of the Service or its underlying infrastructure;
- (d) Misrepresent identity, affiliation, or authority;
- (e) Attempt to bypass technical, rate, or usage limits; or
- (f) Use the Service in violation of applicable laws (including data protection, export control, or financial regulations).
We may suspend or terminate accounts that violate this section.
4) Privacy & Data Protection
Our processing of personal data is described in our Privacy Policy. If the Data Processing Addendum (DPA) applies, it forms part of these Terms (see DPA). You acknowledge that cross-border processing may occur due to global cloud infrastructure.
5) Governing Law; Venue
These Terms are governed by the laws of Malaysia, without regard to its conflict of laws rules. The courts of Malaysia shall have exclusive jurisdiction, and the venue will be appropriate courts where 4c Advisory Sdn. Bhd. is domiciled, unless applicable law requires otherwise.
6) Free Trial
- 6.1 Availability: We may offer a time-limited free trial ("Trial") at our discretion. The Trial period, plan tier, and included modules are specified when your account is created by an authorised administrator.
- 6.2 Trial Period: Unless otherwise stated, the Trial lasts three (3) calendar days from the date your account is created. We may extend or shorten the Trial period at any time at our discretion.
- 6.3 Limitations: During the Trial you may access the modules assigned to your trial plan. Certain features (including but not limited to e-invoicing submission, bulk exports, and AI credit top-ups) may be limited or unavailable during the Trial. Trial accounts are subject to the same Acceptable Use terms as paid accounts.
- 6.4 Data During Trial: Any data you enter during the Trial, including but not limited to contacts, invoices, journal entries, and documents, will be removed after the Trial expires. Sample seed data provided by us is for demonstration purposes only and may be removed at any time.
- 6.5 No Obligation: The Trial does not create any payment obligation. You will not be charged unless you explicitly select a paid plan and provide payment information.
- 6.6 Conversion to Paid Plan: You may convert your Trial account to a paid subscription at any time during or after the Trial period. Conversion is a destructive and irreversible action: all trial sandbox data will be permanently deleted, including all module subscriptions, delegated clients and their data, transactions, invoices, bills, journals, contacts, items, bank statements, and any credit balance. Your firm identity, team members, and audit logs will be preserved. You must explicitly confirm this deletion before conversion proceeds.
- 6.7 Trial Termination: We may terminate a Trial at any time if we determine that the Trial is being used in violation of these Terms, including (but not limited to) using multiple accounts to extend Trial access, or using the Trial for production workloads intended to avoid payment.
7) Subscription, Billing & Cancellation
- 7.1 Plans: The Service is available under various subscription plans, each with defined features and usage limits. Current plans and pricing are published on our website or within the Service.
- 7.2 Billing Cycle: Subscriptions are billed monthly or annually, as selected at the time of purchase. Charges are billed in advance at the beginning of each billing cycle.
- 7.3 Payment: All fees are quoted in Malaysian Ringgit (MYR) unless otherwise stated, and are exclusive of applicable taxes (including SST). You authorise us to charge the payment method on file.
- 7.4 Late Payment: If payment fails, we will notify you and provide a grace period of seven (7) days. If payment is not received within the grace period, access to paid features may be suspended.
- 7.5 Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by law.
- 7.6 Downgrade & Data: If you downgrade to a lower-tier plan, features associated with the higher-tier plan will be disabled. Your data will be retained but may not be accessible until you upgrade again.
- 7.7 Platform Credit System (Standard vs. Restricted Credit Balances):
- (a) Dual-Bucket Credit Architecture: The Service operates a dual-bucket platform credit ledger consisting of:
- (i) Standard Credit Balance: Represents purchased credits acquired by you through direct pre-payment or top-up invoices. Standard credits are universal platform credits spendable across all eligible Service offerings, including module add-ons, document scan volume tiers, token usage, and recurring subscription/licence renewals.
- (ii) Restricted Credit Balance: Represents conditional, promotional, or discretionary credit allocations granted by us (including, without limitation, the Licence Fee Credit Rebate described in Section 7.8). Restricted credits are strictly ring-fenced and spendable only against qualifying software module add-ons and document scan usage tiers as designated by us in your plan schedule. Restricted credits cannot under any circumstances be applied toward base subscription fees, licence fee renewals, third-party software integrations, custom setup services, or statutory filing disbursements.
- (b) Legal Character of Credits: Neither Standard nor Restricted credits constitute legal tender, banking deposits, stored value facilities, or property held in escrow. Restricted credits possess zero cash, monetary, or surrender value and cannot be withdrawn, redeemed for cash, transferred, assigned, pledged, or encumbered.
- (c) Drawdown Hierarchy: When charges for qualifying module add-ons or document scan volumes are incurred, the Service's automated billing engine applies deductions in strict hierarchical order: drawing down from your account's Restricted Credit Balance first until depleted, before deducting from your Standard Credit Balance. All other charges (including licence fee renewals and non-qualifying services) bypass the Restricted Credit Balance entirely and deduct strictly from your Standard Credit Balance or designated payment method.
- 7.8 Licence Fee Credit Rebate Program & Right of Revocation:
- (a) Program Description & MIA AF Rebate: We may, from time to time, offer promotional licence fee credit rebates (including the "100% Licence Fee Rebate" for verified Malaysian Institute of Accountants member firms, or "MIA AF"). Any rebate granted under this program is credited exclusively to your firm's Restricted Credit Balance.
- (b) Eligibility & Continuous Verification: Eligibility for any professional rebate (such as the MIA AF rebate) is strictly contingent upon your firm maintaining valid, active registration in good standing with the relevant regulatory or professional body (e.g., active AF number in the official MIA directory). You represent and warrant that all firm registration numbers and credentials provided during onboarding or verification are true, complete, and current. We reserve the right to independently verify your credentials at any time.
- (c) Expiry & Non-Rollover: Unless expressly stated otherwise in writing, rebate credits issued to your Restricted Credit Balance must be utilized within the applicable annual subscription period (365 days) from the date of grant. Any unutilised rebate balance expires upon subscription anniversary or renewal and does not roll over, accumulate, or accrue interest.
- (d) Provider's Unilateral Right to Revoke, Suspend, or Terminate: You acknowledge and agree that any credit rebate is a conditional promotional concession. We reserve the absolute, unilateral right and discretion to revoke, cancel, forfeit, or decline to renew any rebate or unused Restricted Credit balance, in whole or in part, immediately and without liability:
- (i) Lapse of Eligibility: If your firm ceases to be an active, registered MIA member firm in good standing or fails periodic verification;
- (ii) Misrepresentation: If you provide false, misleading, expired, or fraudulent registration credentials or documentation;
- (iii) Default or Breach: If your account is in arrears, subject to chargeback, or in breach of any provision of these Terms or the Fair Use Policy;
- (iv) Abuse: If we determine, in our sole discretion, that your account is attempting to artificially churn, pool, or manipulate client entity quotas or scan allocations to exploit the rebate; or
- (v) Program Modification: Upon fourteen (14) days' written notice (via email or in-app notification) in the event we modify, replace, or discontinue the promotional rebate program.
- (e) Effect of Revocation & Clawback: Upon revocation or termination of your account or subscription, any unapplied Restricted Credit balance is immediately extinguished and forfeited without compensation or refund. If we discover that rebate credits were obtained through intentional misrepresentation, bad faith, or fraud, we reserve the right to retroactively invoice your account for the full monetary value of any fees improperly discounted or offset, and you agree to pay such invoice within fourteen (14) calendar days of demand.
- 7.9 Standard Credit Balance Refund Policy & Conditions:
- (a) General Non-Refundable Principle: Except as expressly set out in this Section 7.9 or required by mandatory applicable consumer protection legislation, all purchases of Standard Credits and subscription fees are non-refundable.
- (b) Eligible Refund Window & Conditions for Standard Credits: You may submit a written request for a refund of a purchased Standard Credit top-up within fourteen (14) calendar days of the original payment transaction date ("Refund Window"), subject strictly to each of the following cumulative conditions:
- (i) Unconsumed Principal Balance Only: Refunds are strictly restricted to the unused, unconsumed principal credit portion of that specific purchase transaction. Any credits already applied toward module subscriptions, document scans, or renewals are non-refundable;
- (ii) Administrative & Payment Gateway Fee Deduction: All approved refunds are subject to a mandatory administrative and payment gateway processing deduction of five percent (5%) of the refundable transaction amount or RM 50 (whichever is higher) to defray non-recoverable merchant processing, banking, and ledger reconciliation overheads;
- (iii) Automatic Revocation & Clawback of Linked Rebates: If a purchased Standard Credit top-up qualified your firm for, or was linked to, any promotional credit rebate (such as an issuance to your Restricted Credit Balance), approving a refund of that qualifying purchase will immediately and automatically revoke, cancel, and forfeit the corresponding Restricted Credit rebate. In the event any portion of the linked Restricted Credit rebate has already been consumed prior to the refund request, the monetary value of such consumed rebate shall be deducted from the refundable Standard Credit principal balance before any disbursement is issued; and
- (iv) Written Request Verification: Refund requests must be formally submitted via email by your verified firm administrator to billing@autoplatform.my (or designated support desk) within the 14-day Refund Window, stating the transaction reference, payment invoice number, and reason for the request.
- (c) Disbursement Method: Approved refunds will be remitted using the original payment channel or via electronic bank transfer (GIRO/DuitNow) directly to the verified corporate bank account of the registered firm within thirty (30) business days following verification and approval. No cash refunds or disbursements to unverified third parties are permitted.
8) Intellectual Property
- 8.1 Our IP: The Service, its design, code, documentation, branding, and all related intellectual property are owned by 4c Advisory Sdn. Bhd. or its licensors. Nothing in these Terms grants you ownership of the Service or any portion thereof.
- 8.2 Your Data: You retain all rights to the data you input into the Service ("Customer Data"). You grant us a limited, non-exclusive licence to use, process, and store your Customer Data solely for the purpose of providing the Service to you.
- 8.3 Feedback: Any suggestions, ideas, or feedback you provide regarding the Service may be used by us without restriction or compensation.
9) AI-Powered Features
- 9.1 AI Assistance: The Service may include AI-powered features (including document extraction, smart suggestions, and automated categorisation). These features are provided as assistive tools and are not a substitute for professional judgement.
- 9.2 Accuracy: AI-generated outputs may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI-generated content before relying on it for financial, legal, or business decisions.
- 9.3 Data Usage: Customer Data processed by AI features is handled in accordance with our Privacy Policy and DPA. We do not use your Customer Data to train third-party AI models.
10) Limitation of Liability
- 10.1 Disclaimer: The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
- 10.2 Cap: To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the lesser of: (a) the amounts you actually paid us in the three (3) months immediately preceding the event giving rise to the claim; or (b) RM 100.
- 10.3 Exclusions: In no event shall we be liable for: (a) indirect, incidental, special, consequential, or punitive damages; (b) loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings; (c) cost of procurement of substitute services; (d) damages arising from your reliance on AI-generated outputs, automated categorisations, or data extraction results without independent verification; or (e) damages arising from third-party services, integrations, or APIs, even if advised of the possibility of such damages.
- 10.4 Trial Accounts: For free trial accounts, you agree that our maximum liability shall not exceed RM 1 (one Ringgit). The Trial is provided entirely at no charge and you expressly assume all risk associated with your use of the Service during the Trial period, including any loss of data upon Trial expiry.
- 10.5 Time Limitation: Any claim arising from or related to these Terms or the Service must be filed within twelve (12) months of the event giving rise to the claim. Claims filed after this period are expressly waived.
11) Indemnification
You agree to indemnify and hold harmless 4c Advisory Sdn. Bhd., its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Customer Data you upload to the Service.
12) Service Level & Support
- 12.1 Availability: We aim to maintain 99.5% uptime for the Service (excluding scheduled maintenance). We do not guarantee uninterrupted, timely, or error-free operation.
- 12.2 Trial Support: Trial accounts receive community-level support only. Priority support, dedicated onboarding, and service-level agreements (SLAs) are available on paid plans.
- 12.3 Maintenance: We may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may be performed without notice.
13) Modifications to Terms
We may update these Terms from time to time. Material changes will be notified via your registered email address or an in-app notice at least fourteen (14) days before they take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and close your account.
14) Fair Use & Usage Limits
- 14.1 General Fair Use: The Service is designed for normal business operations. All plans — including Trials — are subject to fair use limits. We reserve the right to define, adjust, or remove these limits at any time, without prior notice, at our sole discretion.
- 14.2 AI Document Processing: AI-powered features — including but not limited to document scanning, data extraction, automated categorisation, and smart suggestions — consume platform credits. Credit allocations, replenishment schedules, and carry-over rules are determined by your subscription plan and are subject to change. Excessive or automated bulk usage may be throttled, queued, or suspended at our discretion.
- 14.3 Operational Workloads: The following operational limits apply and may vary by plan tier: (a) API request rates; (b) document storage capacity; (c) concurrent user sessions; (d) batch import/export volumes; (e) report generation frequency; and (f) email and notification delivery volumes. Current limits for your plan may be communicated within the Service, your account dashboard, or by other means at our discretion, and are subject to change at any time.
- 14.4 Trial Account Limits: Trial accounts are subject to reduced usage limits as determined by us at our sole discretion. These limits may differ materially from paid plan capacities and are subject to change without notice.
- 14.5 Prohibited Usage Patterns: The following are examples of conduct considered violations of this fair use policy (this list is illustrative and not exhaustive): (a) automated, scripted, or bot-driven access to AI features beyond normal user interaction; (b) bulk submission of documents or data for the primary purpose of consuming AI processing capacity; (c) use of the Service as a general-purpose document scanning or OCR service unrelated to your accounting and business operations; (d) systematic extraction or scraping of AI-generated outputs for use outside the Service; (e) sharing account credentials to circumvent per-user or per-seat limits; and (f) creating multiple Trial accounts to avoid purchasing a subscription.
- 14.6 Enforcement: If we determine that your usage materially exceeds fair use limits or violates Section 14.5, we may, at our discretion: (a) notify you and request that you reduce usage or upgrade your plan; (b) temporarily throttle or rate-limit your access to affected features; (c) suspend or restrict AI processing capabilities or other Service features; or (d) suspend or terminate your account in accordance with Section 3. We reserve the right to take any enforcement action at any time, with or without prior notice, as we deem necessary.
- 14.7 Monitoring: We may monitor usage of the Service for the purposes of enforcing this fair use policy, maintaining platform integrity, and improving the Service. The scope and methods of monitoring are at our discretion.
